2.  Update on S106 Handover.

The meeting was called following information received from Sue Massey of Avant Homes.

We are informed that Avant is going to transfer all assets - apart from the sea wall, which will remain in Avant’s title until agreement with Southend Borough Council is complete.

The Management Company will then have a new registered title for the estate, which will enable them to proceed with the appointment of Resident Directors, so that Avant directors can step down.

A copy of the draft Transfer has been received by Fowler & Spenceley.

The final Deed of Grant from Anglian Water remains outstanding. The document was returned by SBC to Anglian Water at end May, but Anglian Water cannot locate it. A duplicate has been sent electronically [and will be blasted to cosmic dust instantaneously – ED] and hopefully the matter will be completed soon.

The draft Transfer Document was discussed. The following questions were considered: 

a)    Various small plots are non-titled: how can ownership of these titles be determined?

No clear solution available at present.

b)    What due diligence is to take place prior to the handover?

To be agreed.

c)     What is the process and timing for recruiting new directors?

A new company will be created. New directors are required as soon as possible.

Directors must be property owners and preferably resident to ensure vested interest.

Vacancies will be advertised by letter to residents; on the website; and on the Facebook page.  Details of duties involved will be defined, with a request to identify the skills they bring.

It appears that the current directors can appoint any new directors that they deem suitable, subject to undefined checks.

d)    Financial implications for the directors?

None. Monies are held in trust by the managing agents to meet the upkeep of the Garrison estate

e)    Will GRA be obsolete?

No. GRA will continue as the voice of all residents (owners and lessees)

It is hoped that the changes will be completed by end September 2020.
